Terms of Service

Last updated: 16 October 2026

Agreement

These terms apply to anyone who uses the AfterToneAi website, books a strategy call, or engages us as a client. Each client also signs a written agreement with us that sets out the scope of work, the term of the engagement, fees and payment terms. If your written agreement and these terms conflict, your written agreement wins. If you don't agree to these terms, please don't use our services.

The service

AfterToneAi provides a managed “Revenue Engine Website” service for Australian local businesses. Depending on your written agreement, this includes:

  • designing and building your business website;
  • hosting, maintaining and updating that website for the term of your engagement;
  • a dedicated business phone number that we provision and run for you;
  • missed-call text-back, where people who call and don't reach you receive an SMS reply;
  • AI-assisted SMS replies that collect enquiry details and capture them as leads;
  • automatic SMS requests asking your customers to leave a Google review; and
  • access to a client portal where you can view your leads and account.

Getting started and term

New clients come on board through a strategy call, which you can request on our booking page. Requesting a call doesn't commit you to anything. Our engagement begins when we both sign a written agreement, which covers the initial website build and the ongoing management that follows. The length of the engagement, any minimum term, renewal and notice periods are set out in that agreement.

Fees and billing

Fees and payment terms are agreed in your written agreement and invoiced directly. We don't sell plans or take payments through the client portal.

Existing self-serve subscriptions. If you signed up to our earlier self-serve subscription, it continues on the terms you agreed to at signup and is billed through Stripe. You can manage or cancel it from the billing page in the client portal. Access continues until the end of the period you have paid for.

What you own

You own your business. That includes:

  • Your website: once the build is complete and the amounts due for it are paid, the website we create for you, including its design, text and images, belongs to you.
  • Your content: anything you give us, such as your logo, photos, service descriptions and testimonials, stays yours. You give us permission to use it to build and run your website and services.
  • Your domain: your domain name is registered in your name. If we register or renew it for you, we do so in your name, not ours.
  • Your customer data: the leads, phone numbers, messages and other details of your customers that pass through our systems belong to you.

We keep ownership of our own tools, platform software, automation systems, client portal and any general templates, code or know-how we already had or develop for use across clients. Where any of these form part of your website, you get a non-exclusive, perpetual licence to keep using them as part of that website. Stock images, fonts and other third-party assets remain subject to their own licences.

Hosting, uptime and maintenance

While your engagement is active, we host your website on infrastructure we choose (currently Vercel), keep it secure and up to date, monitor it, and make the updates covered by your written agreement. We aim to keep your website and automations available at all times and to fix problems promptly when they come up. Occasionally we need to carry out maintenance, and we try to schedule it when it will cause the least disruption.

Unless your written agreement includes a specific service level, we don't guarantee uninterrupted availability. Websites, phone networks and messaging depend on carriers and providers outside our control, and outages or delays can happen.

Your responsibilities

To keep your website and automations working well and lawfully, you agree to:

  • give us accurate and up-to-date information about your business, including services, prices, service areas, licences, qualifications and contact details, and tell us promptly when something changes;
  • review your website and SMS wording before launch and whenever we send you changes, and tell us about anything that is wrong;
  • make sure the content you supply is yours to use and doesn't infringe anyone else's rights;
  • make sure claims on your website are true and not misleading under the Australian Consumer Law, and that you follow any advertising rules for your industry (for example, Ahpra advertising rules for registered health practitioners);
  • set up and maintain call forwarding from your existing phone to the business number we provide, where your service uses it; and
  • keep your client portal login secure. You are responsible for activity under your login.

SMS consent and compliance

The text messages we send to your callers and customers are sent on your behalf, in your business's name and at your direction. You are the sender of those messages for legal purposes and you are responsible for them. You represent and warrant that:

  • you have consent or another lawful basis to send each type of message we send for you, including missed-call replies, follow-up messages and review requests, as required by the Spam Act 2003 (Cth) and the Privacy Act 1988 (Cth);
  • you comply with the rules and industry codes administered by the Australian Communications and Media Authority (ACMA) that apply to your messages, including any sender identification or registration requirements;
  • your messages identify your business and include a working way to opt out. We automatically stop messaging anyone who replies STOP or UNSUBSCRIBE, and you must not ask us to contact them again without fresh consent; and
  • you will not use the service to send unsolicited marketing, misleading, deceptive or unlawful messages.

Review requests. Review requests must be sent fairly and in line with Google's policies and the Australian Consumer Law. You must not ask us to offer incentives for reviews, to send requests only to customers likely to leave a positive review, or to post or arrange fake reviews.

You agree to indemnify AfterToneAi against any claims, fines, penalties or losses arising from messages sent on your behalf in breach of these warranties or applicable law, except to the extent the loss was caused by our own failure to follow your instructions.

AI-assisted replies

Our SMS replies use artificial intelligence to understand what a customer needs and to collect their details. Replies are based on the information you give us and are designed to capture enquiries, not to give professional, medical, legal or financial advice, quote binding prices or make commitments on your behalf. AI can occasionally misunderstand a message or reply imperfectly. Check your leads in the client portal and follow up with customers directly, and tell us if a reply needs adjusting.

Third-party providers

We use trusted providers to deliver the service, including Twilio (phone numbers, calls and SMS), Vercel (website hosting), Supabase (database and client portal login), OpenAI (understanding and replying to SMS), Resend (email delivery) and Stripe (billing for existing self-serve subscriptions). Your domain is held with a domain registrar, and review requests link to your Google Business Profile. These providers have their own terms, and their outages or policy changes can affect the service. We may change providers where we reasonably need to, as long as the service you receive is not materially reduced.

Acceptable use

You must not use our services, your website or your business number to:

  • break any law or encourage anyone else to;
  • send spam or bulk unsolicited messages, or message people who have opted out;
  • publish content that is false, misleading, defamatory, discriminatory, obscene or infringes someone else's rights;
  • impersonate another person or business; or
  • attempt to access, disrupt, copy, resell or reverse-engineer our systems, the client portal or other clients' data.

If we reasonably believe you are breaching this section, or a carrier or provider requires it, we may suspend the affected part of the service. Where we can, we will contact you first and work with you to fix the problem.

Ending the engagement

Either of us can end the engagement as set out in your written agreement. When it ends:

  • Domain: we hand over your domain and give you everything you need to manage it yourself, such as registrar access or a transfer code.
  • Website: on request, we provide a copy of your website's content and files so you or another provider can host it. Our hosting, maintenance and automations stop at the end of the engagement.
  • Customer data: on request made within 30 days after the end date, we export your leads and customer data for you. After that we delete it as described in our Privacy Policy.
  • Business number: the dedicated number is held in our telephony account. When the engagement ends we release it and it stops receiving calls and messages, so update your call forwarding and any listings that show it. If you want to keep the number, tell us before the end date and we will try to transfer it to you where the carrier allows.
  • Client portal: your portal access ends.

Any amounts already due under your written agreement remain payable.

Liability

Nothing in these terms excludes, restricts or modifies any right or remedy you have under the Australian Consumer Law or other law that can't lawfully be excluded. Apart from those rights, the service is provided without any other warranties, express or implied.

To the maximum extent permitted by law:

  • we are not liable for lost leads, lost revenue, lost profits or other indirect or consequential loss;
  • we are not liable for loss caused by carrier or provider outages, incorrect call forwarding, inaccurate information you supplied, AI misinterpretation of messages, or your breach of these terms or the law;
  • where our liability for a failure to comply with a consumer guarantee can be limited, it is limited to supplying the services again or paying the cost of having them supplied again; and
  • unless your written agreement says otherwise, our total liability to you in connection with our services is limited to the fees you paid us in the three months before the event that gave rise to the claim.

Privacy

Our Privacy Policy explains how we handle personal information, both yours and your customers'.

Changes and governing law

We may update these terms from time to time. We will tell active clients about material changes by email before they take effect, and the changes won't override anything you have agreed in your written agreement. These terms are governed by the laws of New South Wales, Australia, and both of us submit to the courts of that state.
